Clinical authority and management responsibilities

For Med Spa Management Teams and healthcare attorneys, entity structure and day-to-day authority belong in the same conversation. The Medical Board identifies clinical judgment and certain practice-management decisions as responsibilities that unlicensed parties cannot assume. Discuss ownership, management agreements and any applicable exception with California healthcare counsel.

A medical director agreement alone does not resolve unlawful ownership or control. Map who approves treatment protocols, evaluates clinical competence and controls clinical documentation.

Match each service to the appropriate clinician

Review the actual treatment menu, licenses, training, orders and required supervision. The Medical Board’s cosmetic-treatment FAQs address Botox, lasers and other procedures; a course certificate alone does not establish authority to perform a medical service.

NPs and RNs have different practice pathways. Some qualified California NPs may practice without standardized procedures under AB 890, subject to its requirements. PAs practice under a practice agreement that addresses authorized services and supervision. Review the individual’s authority and setting, rather than applying one rule to every provider.

Connect evaluations, oversight and documentation

For participating practices, good-faith exams are part of coordinated clinical care. Evaluations stay connected to the practice’s patients, oversight and documentation in our proprietary electronic medical record system. We do not offer standalone exams to outside organizations.

Discuss who evaluates, who treats, how concerns reach the responsible clinician and how the care plan is documented. A technology platform does not replace clinical judgment or an appropriate practice arrangement.

Plan changes before they affect care

A departing clinician, new service or additional location can change the oversight plan. Identify responsibilities for ongoing care, clinical records and communication before the transition. The Medical Board’s departure guidance addresses continuity, advance notice and access to records; how it applies depends on the change.

Prepare for a useful conversation

  • Practice location, services and proposed changes.
  • Professional roles and current oversight arrangements.
  • Questions about ownership or clinical control for your counsel.
  • Operational timing and documentation needs, without patient records.

These resources provide general information, not a determination that any arrangement complies with California law.
